Terms & Conditions
1. Introduction
Welcome to Meritum Technologies. These Terms & Conditions govern your access to and use of our digital platforms, systems, services, and solutions, including all associated applications, interfaces, and technical resources. By accessing or engaging with our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with all applicable laws and regulations.
Meritum Technologies operates as a technology partner focused on delivering integrated digital systems and business-oriented solutions. These Terms apply to all interactions, including client engagements, platform usage, and access to any tools or environments developed or maintained by us. Continued use of our services after any updates to these Terms constitutes acceptance of those changes.
2. Nature of Engagement
Meritum Technologies provides end-to-end digital solutions that may include system design, application development, infrastructure planning, performance optimization, and digital strategy. Our approach is system-oriented, focusing on building stable, scalable, and outcome-driven environments rather than isolated deliverables.
All services are structured around real-world execution and are intended to support measurable business performance. While we apply proven methodologies and engineering standards, outcomes may vary based on client-specific factors, operational dependencies, and external conditions. Clients remain responsible for evaluating how solutions align with their internal processes and business objectives.
3. Client Responsibilities
Clients are expected to provide accurate, timely, and complete information required for the successful execution of projects. This includes business requirements, technical inputs, access to systems, and any dependencies necessary for development, deployment, or optimization activities.
Delays, inaccuracies, or limitations in provided information may impact timelines, system performance, or final outcomes. Meritum Technologies shall not be held responsible for issues arising from incomplete or incorrect client inputs.
4. Use of Systems & Deliverables
Clients are granted a limited, non-transferable right to use the systems, applications, or solutions developed by Meritum Technologies strictly for their intended business purposes. Usage must comply with applicable laws and must not compromise system integrity, security, or performance.
Any unauthorized modification, misuse, reverse engineering, or redistribution of delivered systems without prior written consent is strictly prohibited and may result in termination of services or legal action.
5. Performance & Availability
Meritum Technologies designs and builds systems with a focus on stability, scalability, and reliability. However, ongoing performance may depend on hosting environments, third-party integrations, user behavior, and operational conditions beyond our direct control.
We do not guarantee uninterrupted or error-free operation of any system. Maintenance, updates, infrastructure changes, or external disruptions may impact availability or performance from time to time.
6. Data & Security
Clients retain ownership of their data. By engaging our services, clients grant Meritum Technologies the necessary rights to access, process, and manage data strictly for the purpose of delivering, maintaining, and improving systems and services.
We implement reasonable security measures aligned with industry practices. However, no system is entirely risk-free, and clients are responsible for maintaining backups, access controls, and internal data governance practices.
7. Intellectual Property
All underlying frameworks, system architectures, methodologies, and proprietary technologies used by Meritum Technologies remain our intellectual property unless explicitly agreed otherwise in writing.
Custom-developed deliverables may be transferred or licensed to clients based on project agreements. Unauthorized use or replication of proprietary components is strictly prohibited.
8. Prohibited Conduct
- Attempting unauthorized access to systems or infrastructure
- Introducing malicious code or security threats
- Misusing delivered systems beyond intended scope
- Violating applicable laws or regulations
- Disrupting system performance or other users
9. Limitation of Liability
All services and solutions are provided on an “as is” and “as available” basis. While we prioritize quality and reliability through structured development and proven practices, Meritum Technologies does not guarantee specific business outcomes, revenue growth, or performance metrics. Results may vary based on client operations, external dependencies, user behavior, and technical environments beyond our direct control.
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or business interruption arising from the use or inability to use our systems or services. This includes issues related to system performance, third-party integrations, infrastructure limitations, or unforeseen technical disruptions.
10. Termination
Meritum Technologies reserves the right to suspend or terminate services if these Terms are violated, agreements are breached, or activities pose a risk to system integrity, security, or operations, including misuse of delivered solutions or unauthorized modifications.
Upon termination, access to systems and services may be restricted or revoked. Clients remain responsible for all obligations incurred prior to termination, and certain provisions, including those related to liability and intellectual property, will continue to apply.
11. Governing Law
These Terms shall be governed by the laws of India. Any disputes arising in connection with these Terms or the use of services shall be subject to the jurisdiction of the competent courts within India.
12. Changes to Terms
Meritum Technologies may update these Terms periodically to reflect changes in services, operations, or legal requirements. Continued use of our services after such updates implies acceptance of the revised Terms, and users are encouraged to review them regularly.
